WizeDirect Buying Group Terms · Version 1 · Effective October 7, 2026
These terms apply when your clinic joins a WizeDirect buying group. WizeDirect is operated by Xccelerata Inc. ("WizeDirect", "we"). "You" means the clinic (the business) that commits. They add to our general terms of sale at https://xcore-ca-uat-site-01.frappe.cloud/terms-of-sale; if the two conflict on a buying group, these terms win.
2.1 How a buying group works
- A buying group pools orders from many clinics for one product so we can buy it from the manufacturer in volume.
- Each group has a price ladder: the more units the group commits in total, the lower the price per unit for everyone in the group.
- The group page shows the open date, the close date and time (Eastern Time), the target, the minimum, and the expected delivery date.
- The final price is the lower of (a) the price when the most recent lock started (2.5.3; an extension starts a new lock, 2.6.2) and (b) the price of the ladder step reached when the group closes. Once the group closes, the final price never goes up. Everyone in the group pays the same final price per unit, less any early-bird discount you earned and subject to 2.4.
- Prices are in Canadian dollars and exclude HST, which is added to your invoice.
2.2 Group price vs. buying now
- "Regular price" means the price at which the same product is offered for immediate purchase in our webshop at the time shown.
- Joining a group is a choice: you save against the regular price, and in exchange you wait for the group to close and for the manufacturer to ship.
- The expected delivery date shown on the group page (shown as "around" a date) is an estimate, not a guaranteed date. If it moves more than 14 days later before your order ships, you may leave the group with a full refund (2.7.3).
2.3 Committing and the deposit
- To join, you choose a quantity, accept these terms, and pay a deposit by card or digital wallet. The deposit is 10 % of your order value at the current price for a new clinic, or 5 % for a trusted clinic: a clinic that has paid a WizeDirect invoice in the last 24 months, or that we have marked as trusted. The group page shows the rate that applies to you. The deposit is at least C$25 but never more than your order value, and never more than any maximum shown on the group page.
- Your commitment counts toward the group only when the deposit payment succeeds.
- The deposit is an advance on your order. It is not subject to HST when paid; HST is charged on the final invoice, and the deposit is credited against it.
- If you add units, we take an extra deposit for them.
- If your clinic account is not yet approved, you may still commit and pay a deposit. If we cannot approve your clinic before the group is confirmed, your commitment is removed and the deposit is refunded in full.
2.4 Early bird and contract prices
- If you commit (deposit paid) before the early-bird deadline shown on the group page, you get the early-bird discount shown on the group page on the units committed by then, up to any per-clinic limit shown on the group page. If you later reduce, the discount applies to the lower number.
- If your clinic has a lower agreed contract price for the product, you pay the lower of your contract price and the group price with your early bird. Discounts are not combined. Your units still count toward the group total.
2.5 Leaving or changing your order: the free period and the lock
- Free period (from your commit until the lock starts, as shown on the group page):
- you may withdraw at any time in your portal, and your deposit is refunded in full (subject to 2.5.6);
- you may reduce your quantity at any time in your portal. The deposit is not partly refunded: it stays with your order as a credit against your final invoice; if it is more than the amount due, we refund the difference when the group is confirmed (2.8.1).
- Because others can also leave during the free period, the price can go up as well as down during it, but never above the first step of the ladder.
- Lock (the last 72 hours before close, or the period shown on the group page): you can add units but cannot withdraw or reduce. From the start of the lock the price can only stay the same or go down.
- Your commitment is binding from the start of the lock (except in the exit window, 2.6.2). If you back out of all or part of your order during the lock or after close, the deposit for the units you back out of is forfeited as compensation for the volume we committed to the manufacturer on your behalf. A forfeited deposit is treated as including HST.
- We may waive a forfeit at our discretion, for example in a documented emergency.
- If a limit on free withdrawals is shown on the group page and you go over it, we may keep the card processing fee on the next withdrawal.
2.6 When the group closes
- Target reached: the group is confirmed at the final price (2.1.4).
- Below target: we may extend the close date. An extension reopens the free period, so you can again leave free of charge until the new lock. If the group still ends below target but above the minimum, we may go ahead at the final price. We then email you and you have 48 hours to leave with a full refund. If you don't reply, your order goes ahead.
- Below the minimum, or the manufacturer's minimum order not met: we may cancel the group. You receive a full refund.
- We may top up a group by buying the missing units ourselves. A top-up can only lower your price, never raise it.
2.7 Full refunds we make automatically
You get your whole deposit back, including any processing fee, when:
- we cancel the group;
- you leave in the exit window (2.6.2), or you withdraw in the free period (2.5.1), subject to 2.5.6;
- we change the group's terms against you after you commit: the product changes, the expected delivery date moves more than 14 days later, or a fee is added that was not shown when you committed;
- your clinic is not approved before the group is confirmed;
- the group's supply ran out before your deposit succeeded.
Refunds go back to the original payment method, normally within 5–10 business days depending on your bank.
2.8 Final invoice and payment
- After the group is confirmed, we issue your invoice: units × final price, less early bird, plus delivery (2.9), plus HST, less the deposit. If your deposit is more than the amount due, we refund the difference.
- The balance is collected by pre-authorised debit (PAD) under our Business PAD Agreement, unless you choose card, or cheque/EFT where offered. PAD is the default because it costs least.
- We debit the balance no earlier than 2 business days after the invoice is emailed.
- If the payment fails, we email you a notice with a payment link. If a PAD debit is returned for insufficient funds, we retry it once, 3 days later. If the balance is still unpaid 7 days after that notice, we may cancel your order and your deposit is forfeited.
2.9 Delivery
- We deliver to the clinic address on your account with our own vehicle or a carrier, after the balance is paid.
- Delivery is free when your order in the group is C$300 or more before HST. Below that, a delivery fee of C$25 plus HST applies. Whether the fee applies is decided when the group is confirmed, on your final quantity valued at the higher of the price at which each unit was committed and the final price; it is shown on your invoice. A group page may show a different rule; the rule shown when you commit applies.
- If you reduce your order below the free-delivery amount, the fee is added.
- If the manufacturer ships fewer units than ordered, the shortfall is shared among the clinics in proportion to their orders after any units held by WizeDirect (stock or top-up) are used, and you are invoiced or refunded only for what you receive.
- Check the delivery on arrival and report any damage or shortage within 5 business days to contact@wize.health.
2.10 Product, returns and warranty
- Products are supplied by the manufacturer named on the group page; the manufacturer's warranty applies.
- Group orders are bought specially, so they cannot be returned for change of mind. Defective, damaged or wrong items are replaced or refunded under our general terms of sale.
2.11 Our responsibility
- We are responsible for running the group fairly and as described in these terms.
- We are not responsible for delays caused by the manufacturer, customs, carriers or events beyond our reasonable control. In that case your remedy is the right to leave with a full refund under 2.7.3.
- Except where the law does not allow it, our total liability for a buying-group order is limited to the amount you paid for that order, and we are not liable for indirect or consequential losses such as lost profit.
2.12 Account, conduct and records
- You confirm you are a business (dental or medical clinic) buying for professional use, and that the person committing may bind the clinic.
- Buying groups with self-serve checkout are open to clinics with a delivery address in a province that charges HST. Clinics elsewhere can contact us to join.
- We may refuse or cancel a commitment that appears fraudulent or abusive; any deposit is refunded unless the lock had started (2.5.4).
- We record your acceptance of these terms (version, time, IP address) with your commitment.
2.13 Changes, law and contact
- We may update these terms for future commitments. A commitment you have already made stays under the version you accepted.
- You agree to accept these terms electronically and to receive notices about your commitment by email at the address on your account.
- If any part of these terms is found invalid, the rest still applies. These terms, the group page and our general terms of sale are the whole agreement for a buying-group order.
- These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there.
